For service companies

Contractor Terms of Service

Version 3.0, September 19, 2026.

These Contractor Terms are the master business agreement between your company and Kroywen Phoenix LLC dba Kroycom for participating in its lead-generation properties, including Laveen AC Repair. They apply when an authorized person checks the agreement box and creates the company account. Each property membership has its own separately displayed and accepted price. Sections 15, 16 and 18 are in capital letters because they limit Company's responsibility and allow either party to end the relationship at any time; please read them carefully.

1. Parties, formation and scope

These Contractor Terms govern the business-to-business relationship between Kroywen Phoenix LLC dba Kroycom (Company, we or us), the operator of independently branded lead-generation properties including Laveen AC Repair, and the business that creates a contractor account (Contractor or you). Contractor is our customer, not a worker hired by us. A service requester is a person seeking work from an independent provider.

The Agreement consists of these Terms, in the version recorded with your acceptance, and the price displayed to and affirmatively accepted by Contractor for each property membership. It is formed when a person with authority to bind Contractor checks the agreement box and creates the company account, and it takes effect at the acceptance time we record. Company approval is still required before any lead access is activated. Being added to an account by an administrator, receiving an offer, or saving a payment method is not acceptance of these Terms or of a price. Prior dealings are not retroactively released or made subject to this version.

One master agreement covers every Company property. Each property membership has its own separately displayed and accepted price, and access to one property does not create a right to another.

Services means the lead-access program and related websites, intake, communications, software, account tools, information and support Company elects to make available. These Terms do not govern a homeowner's purchase of HVAC or other work and do not make Company a party to that purchase. A price or label displayed in an account cannot create a fee that Contractor did not affirmatively accept.

2. Independent businesses; no authority to bind Company

Company provides referral, advertising, intake and technology services. Company does not perform, quote, schedule, supervise, inspect or warrant HVAC or other work, employ Contractor's personnel, or collect the homeowner's payment for that work. Contractor independently decides whether to pursue a request and sets its own prices, contracts, appointments, staffing, methods, tools and service warranties. Contractor bears its own expenses, payroll, taxes, insurance and business risks.

Neither party is the other's employee, agent, partner, joint venturer, franchisee or fiduciary, and nothing in these Terms makes Contractor or its staff a 1099 independent contractor of Company. Contractor may serve other customers and use competing services, without a minimum work schedule, purchase commitment or exclusivity obligation. Contractor may not describe its staff as Company's technicians, use Company's license or identity, or make any promise or incur any obligation on Company's behalf. A referral is not an endorsement or guarantee of either party. The parties' actual conduct must remain consistent with these boundaries.

3. Eligibility, licensing and insurance

Contractor must provide its correct legal identity, ownership and authorized contact information, hold and maintain each active Arizona Registrar of Contractors license and classification appropriate to the work it accepts, and use only lawfully qualified personnel. Contractor gave its license number or numbers at signup; Company may check them against the Arizona Registrar of Contractors at any time. Any statutory licensing exemption must be specifically documented and approved by Company before participation, and Company may apply a stricter admission policy. Contractor is responsible for permits, codes, consumer contracts, safety, environmental requirements and lawful subcontracting.

Contractor confirms that it carries insurance adequate for its operations, together with any workers' compensation, vehicle or other coverage the law requires of it. Company does not set or verify coverage amounts, and Contractor alone decides what coverage its business needs. Contractor must notify Company promptly if it no longer carries adequate insurance or legally required coverage, and must not accept leads while that is the case.

Company may verify information, request supporting records, reject an application or pause or remove an account, including one whose license is not active. Review, failure to review, or activation does not certify Contractor's competence, insure its work, or relieve Contractor of its obligations. Contractor remains responsible for its employees, representatives and approved service providers.

4. Leads are opportunities, not promised revenue

A lead is information about an apparent service request, not a purchased customer, booked job, exclusive homeowner, verified property owner or promised payment. The requester supplies information that may be incomplete, mistaken, duplicated, stale, fraudulent or outside Contractor's preferences. A working contact method does not establish intent, authority, ability to pay or willingness to respond. Company does not promise a minimum number, mix, frequency, value, response rate, conversion rate, job size or return on investment.

Contractor bears the commercial risk of evaluating, following up, estimating, selling, performing and collecting for work. A requester may decline, cancel, choose another provider, seek multiple estimates or stop responding. Lack of a sale, revenue or profit, including where Contractor paid for a lead, does not by itself make a fee creditable or establish Company's breach. Contractor should not incur staffing, travel, equipment or other commitments in reliance on forecast leads or expected revenue.

These disclosures do not permit Company to knowingly sell a test or fabricated request as a genuine lead, misstate an agreed price, or disregard an express obligation in the Agreement. Billing corrections and the specific remedies in Section 7 remain available.

5. Offers, claims, allocation and limited exclusivity

Company may send an offer to more than one eligible business at the same time. Opening an offer, receiving an alert or attempting a claim does not reserve a lead. The first claim accepted and recorded by the platform receives access to the contact details. Network timing, filtering, device settings and system errors can affect delivery and claim order. Company does not promise equal alert timing, priority, a fair share of leads or an exclusive territory.

Any exclusivity is limited to Company's allocation of that request while the assignment remains active. It does not prevent the requester from contacting others, using other platforms or hiring a competitor. Company may correct an erroneous allocation or reassign an abandoned, declined or unserviceable request, or act on the requester's instructions or a safety or compliance concern. Company will not keep two fees for an allocation error that deprived the first paying claimant of the promised contact access; Section 7 applies. Reassignment caused by Contractor's own abandonment or breach does not create a credit.

Each offer shows the area (for example a ZIP code or cross streets), the available request details and the price before Contractor claims. Review them first. Claiming a request in a clearly disclosed location outside Contractor's service area is Contractor's decision, remains billable, and is not a credit ground. Location and AI summaries are estimates, not surveying or diagnostic findings. Company may change future routing, availability, eligibility criteria and interface features, subject to accepted pricing, earned rights and Section 22.

6. Prices, payment and stopping future purchases

The price for each property membership is the one displayed to Contractor and affirmatively accepted in its account. Depending on the accepted offer, pricing may be a free trial with a stated number of free leads followed by a per-lead price, a price per claimed lead, a monthly fee, a monthly fee plus a price per claimed lead, a monthly minimum, or a custom arrangement. The account page states the terms that apply. A changed or new price applies only after Contractor accepts that exact offer in its account; an unaccepted price change does not apply.

A per-lead fee is earned when the platform accepts Contractor's claim and makes the request's contact details available to Contractor. No fee is earned for an offer alone, opening a message, a declined or unsuccessful claim, or an identified test or demonstration request. A charge made without a billable event will be reversed. A monthly fee is earned for the monthly period stated in the accepted offer.

For a paid plan, Contractor authorizes Company and its payment processor, Stripe, to store a payment-method token and to charge the accepted fees automatically, including a charge completed without Contractor actively using the website. Charges vary only with the accepted prices, the number of billable claims and any applicable taxes lawfully imposed and disclosed. Company does not send invoices for payment by hand; a receipt for each charge is available in the account. Contractor represents that it may use the payment method. Card details must be entered only through the processor's secure page, never sent to Company by email or text.

A free trial does not become a paid plan unless Contractor accepted a price that applies after the free leads are used. If a payment fails, new lead offers to Contractor stop at once and Company may send a daily reminder until the payment method is fixed; when payment clears, offers resume. Company may also suspend future access for material payment risk. Updating a card or paying a balance does not guarantee reinstatement or future lead availability. Amounts already owed remain due.

Contractor can stop future purchases at any time by canceling or pausing participation in its account. No new claim is accepted after cancellation takes effect, and nothing new is billed after that moment. A fee already earned may be processed later; cancellation does not erase it. Company will reasonably investigate good-faith billing disputes. Nothing prohibits a lawful payment dispute, regulatory complaint or statutory remedy; neither party may recover twice for the same charge.

7. Bad-lead credits and billing corrections

Remedies for a bad lead are account credits only, never cash. Submit a bad-lead request within seven calendar days after the claim, identifying the lead, the reason and the available evidence. The grounds are: all supplied and permitted contact methods are actually unusable (for example a disconnected number); the request came from outside Arizona; a material service or location fact was incorrectly represented by Company before the claim; the lead was an undisclosed test or fabricated request; or Company failed to provide the contact access claimed. A mere failure to answer is not proof that a contact method is unusable. Company will assess each request reasonably and in good faith.

No credit is due solely because there was no appointment, sale, profit or response, the requester changed plans, the requester was comparing bids or already knew Contractor, or an accurately disclosed location was outside Contractor's preferred area. Company may ask for reasonable supporting information but will not demand proof that is impossible to obtain as a way to deny a valid request.

An approved request earns an account credit equal to the affected lead fee. Credits are applied automatically to Contractor's next eligible charges, oldest credit first. Credits have no cash value, are not refunded on cancellation or termination, and cannot be transferred.

A billing error is different from a bad lead. If Company charges more than the accepted price, charges twice for the same claim, charges without a billable event, or makes a charge Contractor did not authorize, Company will refund or reverse the excess to the payment method. That is the only case in which money is returned in cash. Company will not end participation in bad faith for the purpose of keeping fees or credits, and its internal review does not make a decision immune from the dispute process or applicable law. The seven-day request period does not shorten a statute of limitations or remove a right that cannot lawfully be limited.

8. Contractor conduct and account security

Claim only requests Contractor can lawfully and realistically evaluate. After claiming, contact the requester promptly and professionally through a permitted channel, or promptly release the request. Contractor is not required to accept any offered lead. Company may pause or stop future offers when Contractor is unavailable or repeatedly fails to respond, but declining an offer alone creates no fee. Keep account destinations, availability and service information accurate. Outcome reporting is voluntary unless a written addendum says otherwise.

Do not harass, discriminate unlawfully, impersonate Company, misrepresent qualifications, fabricate outcomes, manipulate a claim race, use unauthorized automated claiming, scrape other users' information, bypass security or payment controls, or resell, rent, broadcast or transfer leads. Conduct that harms homeowners or the reputation of a Company property can lead to pause or removal. Protect passwords, access tokens, claim links and revealed details. Use available security controls and restrict access to authorized personnel. Promptly report suspected unauthorized access or purchases. Contractor is responsible for its authorized users, not automatically for every event caused by Company's own security failure.

9. Communications to Contractor; text-message choice

The email address on the account is Contractor's address for lead alerts, receipts, account administration, security, billing and legal notices. Lead-alert emails are part of the Services Contractor requests when it creates the account. Contractor can change its alert destinations, or pause or cancel participation, in its account. Pausing or canceling does not cancel amounts owed or stop necessary account, security, billing and legal notices.

Text messages to Contractor are sent only if Contractor checked the separate text-message box, which is voluntary and never a condition of signup, purchase or participation. Creating the account, accepting these Terms, supplying a phone number, saving a card or being added by an administrator is not consent to text messages. Only the recipient or a person with actual authority over the number may consent, and Contractor must not add an employee's personal number without that person's permission. Message frequency varies with lead volume; message and data rates may apply; reply STOP to any message to stop texts and HELP for help. STOP is not the only way to withdraw; any reasonable request is honored. Company never sells or shares Contractor's mobile number. Withdrawal stops future text messages, not accrued obligations, and lead alerts continue by email.

10. Contractor's contacts with requesters

Every lead shows how the homeowner agreed to be contacted: "Texting: OK", "Calls and email only", or "Email only". Contractor must follow that mark exactly. Never send a text message to a homeowner marked "Calls and email only" or "Email only", and never call a homeowner marked "Email only". The homeowner's texting permission covers messages about that request only, and only while that request is open; it is not permission to add the homeowner to any list or to send marketing. Contacting a homeowner against the mark is a breach of these Terms and grounds for immediate pause or removal.

Contractor must identify itself accurately, stay within the actual request and the permitted channel, and remain responsible for the lawful basis of its own calls, texts and emails, including the equipment and message it uses. When the recorded permission does not clearly cover a contact Contractor wants to make, Contractor must obtain appropriate new permission first.

Observe all applicable federal and state telephone, text, email, do-not-call, privacy and consumer-protection requirements, including reasonable contact hours, company-specific suppression requests and applicable national do-not-call restrictions. Where prior express written consent is required, keep proof of it. Do not treat a business number, a manually sent message or an existing inquiry as a blanket exemption. Do not use platform leads for unrelated promotions, marketing lists, prerecorded or artificial-voice outreach, or a new campaign.

Stop the affected contacts promptly after a withdrawal or reliable notice of a wrong or reassigned number. Maintain required suppression records and train personnel. Company does not promise that a STOP sent to Company's number automatically reaches every independent contractor. Company remains responsible for its own messaging choices and cannot create a requester's consent through this Agreement.

11. Consent records and cooperation

Each party must keep accurate evidence supporting the contacts it is responsible for, including the disclosure, the affirmative action, the relevant number or address, sender and purpose, time, source and any later withdrawal. Keep the exact version actually presented, not wording reconstructed after a complaint. Technical metadata is supporting evidence, not conclusive proof that a person consented or had authority.

On a reasonable compliance request, Contractor must promptly supply lawfully disclosable supporting records, preserve relevant evidence, and cooperate in investigating complaints, misrouting or opt-outs. Company may suspend consent-dependent sending or lead access while evidence is insufficient. Neither party must disclose privileged material or more personal information than is reasonably necessary and lawful. A missing consent record never permits reconstructing a signature, backdating consent, or continuing a contact that requires proof of permission.

12. Information handling, confidentiality and security incidents

Lead information is licensed for evaluating and responding to the specific request and performing work the requester actually authorizes. It is not sold as a marketing database. Use it only for those purposes and legally required records. Limit access to personnel and service providers who need it, are bound to appropriate confidentiality and security duties, and may lawfully receive it. Do not publish it, resell it, share it, add it to marketing lists, submit it to a public AI tool, use it to train a general-purpose model, or permit independent advertising.

Both parties must use reasonable safeguards for the information they control. Contractor must notify Company without undue delay, and in any event within twenty-four hours after discovering suspected unauthorized access to its account credentials or lead information, with the information then known and updates as available. This contractual reporting period does not replace any legal breach-notice deadline. Coordinate the response where lawful, but neither party may prevent a legally required notice, report or disclosure.

After the request and any authorized work are complete, keep personal information only for legitimate service, warranty, legal, accounting or dispute purposes and required retention periods, with access restrictions. On termination, stop using platform access and delete unneeded lead copies within thirty days, subject to those purposes and any proper legal hold. Keep minimal suppression information where lawful so that deletion does not cause renewed unwanted contact. Contractor's independently established customer relationships remain subject to the customer's choices and applicable law.

Nonpublic pricing arrangements, credentials and business-security information must be protected and used only for the Agreement. This does not cover information that is lawfully public or independently obtained, and it does not prohibit truthful reviews, communications with advisers or insurers, lawful competition, protected reporting, subpoenas or cooperation with regulators.

13. AI, recordings and third-party systems

The Services may use automated intake, AI-generated summaries, translations, routing, location estimates and recorded or transcribed communications. These may omit, misunderstand or invent details and are not professional diagnoses, estimates, emergency instructions or verified statements of a requester. Contractor must confirm material facts directly and apply its own professional judgment. Company is not an emergency-response service, and Contractor must not rely on it to detect or resolve safety hazards.

Each party must obtain any notice, consent or other authority required before recording, monitoring, transcribing or sharing a communication. Contractor agrees to disclosed, lawful processing of its own service communications but cannot consent for a homeowner, for an employee using a personal line, or for another participant. No voice cloning, identity impersonation or outbound artificial-voice marketing is authorized by this Agreement.

Hosting, communications, AI, payment and other service providers may process information for authorized purposes. Third-party outages, filtering, changes or failures may affect the Services. A vendor's separate terms do not create new fees or override this Agreement. Company does not warrant a third party's performance, but this does not remove Company's express duties or any responsibility the law does not allow it to transfer.

14. Intellectual property and business assets

Company and its licensors keep the platform, software, domains, telephone numbers, content, branding and associated intellectual property. Contractor receives only a limited, revocable, nontransferable right to use authorized Services during participation. Contractor acquires no ownership of any website, search ranking, territory, telephone line or future leads, and must not hold itself out as buying or renting those assets under this Agreement.

Contractor grants Company a nonexclusive license during participation to display accurate business identification and materials Contractor supplies, to administer and truthfully describe participation, and warrants that it has the rights to grant it. No endorsement or testimonial may be invented. After termination Company will stop presenting Contractor as a current participant, allowing reasonable technical removal time and lawful historical records. Contractor keeps its own name, materials and independently established customer relationships.

15. AS-IS SERVICES; NO PERFORMANCE OR PROFIT WARRANTY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICES, LEADS, INFORMATION AND TECHNOLOGY ARE PROVIDED 'AS IS,' 'AS AVAILABLE' AND 'WITH ALL FAULTS.' COMPANY DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE. COMPANY DOES NOT WARRANT ERROR-FREE OR UNINTERRUPTED OPERATION, ACCURACY, SECURITY AGAINST EVERY THREAT, DELIVERY, CLAIM SUCCESS, REVENUE, PROFIT OR FITNESS FOR CONTRACTOR'S BUSINESS PLAN.

Contractor is responsible for converting opportunities into customers and for its business costs and results. Neither a paid lead nor a free feature changes this allocation. Demonstrations, projections and informal statements do not create a performance guarantee. This Section does not negate an express obligation in the Agreement, the billing corrections and credits in Section 7, or a warranty or remedy that applicable law does not allow the parties to exclude.

16. LIMITATION OF COMPANY LIABILITY

SUBJECT TO THE EXCEPTIONS BELOW, COMPANY AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES AND SERVICE PROVIDERS HAVE NO LIABILITY TO CONTRACTOR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST GOODWILL, ANTICIPATED SAVINGS, OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM THE SERVICES OR THE AGREEMENT, WHETHER OR NOT FORESEEABLE, AND WHETHER OR NOT LOST PROFITS OR LOST REVENUE ARE DESCRIBED AS DIRECT DAMAGES.

SUBJECT TO THE EXCEPTIONS BELOW, THEIR COMBINED AGGREGATE LIABILITY TO CONTRACTOR FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES OR THE AGREEMENT WILL NOT EXCEED THE GREATER OF (A) $500 OR (B) THE SERVICE FEES CONTRACTOR ACTUALLY PAID COMPANY UNDER THIS AGREEMENT DURING THE THREE MONTHS IMMEDIATELY BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIMS. A SERIES OF RELATED EVENTS USES THE FIRST EVENT. MULTIPLE CLAIMS OR DEFENDANTS DO NOT MULTIPLY THE CAP.

These limits apply to breach of contract, ordinary negligence, other tort theories and statutory claims to the extent those claims may lawfully be limited. They cover use, inability to use, errors, delay, nondelivery, allocation decisions and discontinuance. They do not exclude or limit liability for a protected person's fraud, bad faith, gross negligence, recklessness or willful misconduct; bodily injury or death caused by that person; or any liability or remedy that the law does not permit to be excluded or limited. Billing corrections and credits owed under Section 7 are not damages subject to this cap.

The parties specifically agree to this allocation of ordinary commercial risk as part of the price and scope of the Services. Contractor has the opportunity to review it and seek independent advice before accepting. Nothing here bars filing a lawful claim or waives regulatory enforcement or a nonwaivable right.

17. Contractor indemnity for third-party claims

To the extent permitted by law, Contractor will defend, indemnify and hold harmless Company and its members, managers, officers and employees against third-party claims and resulting reasonable losses, judgments, settlements and legal fees, to the extent caused by Contractor's work, negligence, wrongful conduct, licensing or insurance status, unauthorized communications or data use, infringement by Contractor-supplied materials, or material breach of this Agreement. This is not a general duty to reimburse Company for its own misconduct or for every disagreement with Contractor.

No indemnity or defense is owed to the extent attributable to an indemnified person's own negligence, fraud, bad faith, gross negligence, recklessness, willful misconduct or independent violation of law. No fine, penalty, punitive award or other amount is included where indemnification is prohibited. Any applicable construction or dwelling anti-indemnity statute controls regardless of the label given this Agreement. Mixed claims and reasonable defense costs are allocated consistently with these limits.

Company must give prompt notice, with late notice relieving Contractor only to the extent of material prejudice, and reasonable cooperation at Contractor's expense for the covered portion. Defense counsel must be reasonably acceptable to Company. Contractor may not settle by admitting Company fault, imposing nonmonetary duties on Company or failing to release the indemnified parties without Company's written consent, which will not be unreasonably withheld. Company may participate with its own counsel at its own expense, except where a conflict reasonably requires separate counsel.

18. SUSPENSION AND AT-WILL TERMINATION

EITHER PARTY MAY END PARTICIPATION AT ANY TIME, FOR ANY LAWFUL REASON OR NO STATED REASON, WITH OR WITHOUT CAUSE AND WITHOUT ADVANCE NOTICE, SUBJECT TO ANY NOTICE THAT APPLICABLE LAW DOES NOT ALLOW THE PARTIES TO WAIVE. COMPANY MAY IMMEDIATELY SUSPEND ALL OR PART OF ACCESS OR FUTURE OFFERS ON THE SAME BASIS. NO MINIMUM RELATIONSHIP, CURE PERIOD, FUTURE LEAD VOLUME OR RIGHT TO REINSTATEMENT IS PROMISED.

Contractor can cancel at any time from its account page; lead offers stop immediately. Company may act immediately for nonpayment, suspected misuse, licensing or insurance problems, a compliance or safety concern, conduct issues, system protection or a business decision to discontinue the program. Notice of a suspension or termination will be sent promptly to the account email; an emergency suspension need not wait for delivery. A termination right is not permission to act unlawfully or in bad faith or to alter a completed transaction.

After termination, no new claims or fees are generated. Properly earned fees, billing corrections and lawful existing obligations remain. Unused credits end with the account, as stated in Section 7. Contractor must honor its own commitments to homeowners or arrange a lawful transition; Company does not take over the work. Sections concerning accrued payment, billing corrections, permitted record retention, confidentiality, intellectual property, liability, indemnity and disputes survive as their nature requires. Text-message consent does not survive a valid withdrawal merely because another clause survives.

19. Interruptions and events outside reasonable control

A party is excused from delay in a nonpayment obligation to the extent actually caused by an event beyond its reasonable control, such as a natural disaster, utility or carrier failure, lawful government restriction or third-party infrastructure disruption, when it uses reasonable efforts to reduce the effects and resume performance where appropriate. This does not excuse fraud, bad faith or other non-excludable fault, authorize charges for an unperformed billable event, erase earned fees or billing corrections, or require either party to continue an at-will relationship.

20. Notices, records and electronic acceptance

Company sends contractual notices to the email address on Contractor's account, and Contractor must keep it current. Contractor sends contractual notices to Company at laveenacrepair@kroycom.com. Electronic notice is effective when received at the designated address in a retrievable form, not merely because a sender's system says it was sent; a known delivery failure requires a reasonable alternative. Text messages are never the only channel for legal notices, and these provisions do not override statutory service requirements or reasonable consent-withdrawal methods.

The parties agree to transact electronically. Checking the agreement box and creating the account is Contractor's electronic acceptance and must reflect the intent and actual authority of the person acting. Company records the exact Terms version accepted, a fingerprint of its text, the time and the person who accepted, and each accepted price, and Contractor can view and download its agreement from its account. A party may decline future electronic transactions without invalidating a completed electronic agreement. A change in delivery preference does not cancel an obligation or supply text-message consent.

21. Governing law and disputes

Arizona law governs, except that federal law and any other mandatory law remain applicable. Subject to jurisdiction and nonwaivable venue rules, disputes must be brought in an appropriate state court in Maricopa County, Arizona, or the United States District Court for the District of Arizona, and each party consents to personal jurisdiction there. This Agreement does not require arbitration or waive a jury, class procedure or the right to contact a regulator.

The parties should give written notice of a dispute and try in good faith to resolve it for thirty days, but this does not bar a timely filing, emergency relief or a statutory complaint. A party may seek temporary relief under the ordinary legal standards. Reasonable attorney fees and costs may be awarded as applicable law or an enforceable agreement permits; this Section imposes no automatic penalty, excessive fee or shortened limitations period.

22. Changes, priority, assignment and entire agreement

A new price or a material change to these Terms applies only going forward, after clear notice and Contractor's affirmative acceptance in its account. Posting a new webpage, silence, an administrator's edit or unrelated use is not acceptance. The version Contractor accepted stays on record and is not rewritten by a later version. Company may decline future participation rather than continue under old terms, subject to Section 18. A change cannot alter accrued claims, earned credits or earlier billable events, and a nonmaterial correction cannot change the bargain.

A written addendum expressly agreed by both parties controls the provision it specifically changes. Otherwise, the price accepted in the account controls the commercial details for that membership and these Terms control the general legal provisions. The separate text-message choice controls that channel and does not expand a homeowner's consent. A privacy notice describes data practices and does not expand rights or fees. No other webpage or processor term changes this allocation without valid acceptance.

Contractor may not assign access, a lead or this Agreement without Company's written consent. Company may assign the Agreement with its business to a successor that assumes its obligations, with notice to Contractor and without enlarging the bargain. No assignment transfers messaging consent to a new sender or brand beyond its lawful scope.

The Agreement is the complete agreement for its subject matter from its effective date. It does not release prior claims, excuse actionable fraud, or bind persons who did not validly accept. No waiver is continuing unless expressly stated in writing. An invalid provision is severed only to the extent required by law, without destroying the agreed exchange. Except for the persons expressly protected in Sections 16 and 17, no third-party beneficiary is intended. Nothing in this Agreement removes a duty of good faith or a right that applicable law makes nonwaivable.
